By
creating content on the UCPlaces platform you agree to enter
into a Contributor Partnership
Agreement with UCPlaces, LLC.
As a UCPlaces account holder you may submit Content to the Service, including but not limited to audio, video, pictures and user comments. You understand that UCPlaces does not guarantee any confidentiality with respect to any Content you submit.
You shall be solely responsible for your own Content and the consequences of submitting and publishing your Content on the Service. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish content you submit; and you license to UCPlaces all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for publication on the Service pursuant to these Terms.
For clarity, you retain all of your ownership rights in your Content. However, by submitting Content to UCPlaces, you hereby grant UCPlaces a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service and UCPlaces's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.
You also hereby grant each user of the Service a non-exclusive license to access your Content through the Service, and to use, reproduce, distribute, display and perform such Content as permitted through the functionality of the Service and under these Terms of Service.
The above licenses granted by you in the Content you submit to the Service terminate within a commercially reasonable time after you remove or delete your content from the Service. You understand and agree, however, that UCPlaces may retain, but not display, distribute, or perform, server copies of your content that have been removed or deleted.
The above licenses granted by you in user comments you submit are perpetual and irrevocable. You further agree that Content you submit to the Service will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant UCPlaces all of the license rights granted herein.
UCPlaces will provide you with its services and proprietary tools to help you create, manage and publish your tours and grow your audience on UCPlaces. UCPlaces will provide technical support and limited production support to help you get your tours published on the UCPlaces platform.
Your guided tours and content will be distributed through the UCPlaces platform to end users in a variety of platforms that may include but are not limited to mobile apps, web browsers and other applications such as Virtual Reality systems and others.
Your published guided tours will become part of the UCPlaces offerings and UCPlaces will receive a share of revenue generated by your tours based on the terms below.
UCPlaces
doesn’t guarantee that your tour will ever get
published or will always stay published. We will do our best
to assist you in getting
your tour to the point of publication. To improve chances of
publication, your
tours must be unique on the UCPlaces platform and rise to a
high level of
guided tour standard that delivers a meaningful experience
to target audiences to
the sole discretion of UCPlaces. Partner’s tours will be
vetted, appropriate,
and must be unique and considered worthy of users’ time by
the UCPlaces
publication team.
1. UCPlaces and Partner split net revenues 50/50 (after iTunes App Store & Google Play or another processor transaction fee).
2. For content produced by UCPlaces for partners: If for any reason you decide to leave UCPlaces, any content that we solely produced for you, UCPlaces will retain 100% ownership and control of that content, to include but not limited to recorded audio, video, points of interest and images.

For
partner-created content: Partners have the full right to
unpublish tours from
UCPlaces, however, tours that were sold to users will still
be available to
these users even after the tour has been removed from
general availability.
Tour purchase reports are available in the user profile page.
You will be paid on the 10th day of each month for the earrings of the previous month. For example, on February 10th, you will be paid for the earnings made on the previous month (January).
Payments for your earnings will be submitted to your PayPal/Venmo or Zelle account that you will provide in your user profile on the UCPlaces platform.
Taxes
You
are responsible for paying all required state and federal
taxes
for your earnings.
UCPlaces is a platform that partners and users can leverage to create, share and sell guided tours. UCPlaces generates revenue through advertisements, product placements, sponsorships and premium content such as partner guided tours.
For each tour, you will be able to provide references in text, images and audio for your own content and products, to include links to website, blogs, books and other related items or sites.
Ownership and Control of Content
You hereby agree for the duration of this agreement to:
1. Give us full rights to, monetize, manage and distribute your content as required on the UCPlaces platform.
2. Give us the non-exclusive right to use your name and likeness, as well as to display your trademarks, logo and trade names, if applicable, to promote UCPlaces, as well as your tours, your content and your name and brand.
3. You retain full copyright ownership and control of your own works/content.
4. You retain complete creative direction and control over your tours and content including pricing.
As a UCPlaces partner, you agree to read and follow all of UCPlaces Terms of Use, Conditions, Guidelines and Content Policy Guidelines.
You agree that content you submit will not contain third party copyrighted material, or material that is subject to other third party proprietary rights (such as online images, video and audio [such as music and sound effects]), unless you have permission from the rightful owner of the material. You must be legally entitled to post the material and to grant UCPlaces all of the license rights granted herein. You may not upload content or attempt to monetize content that infringes on the rights of others.
Promoting any form of hatred/racism is strictly prohibited.
We will provide you with access to helpful instructions, videos and other useful Tools & Tips aimed at creating meaningful tours on UCPlaces.
UCPlaces may choose to cross promote your tours by as part of any marketing campaigns, utilizing Licensor content and material provided during the tour creation process. When we do so, we will always mention you and/or your brand, with the aim to build and direct traffic to the platform and grow yours & UCPlaces’ user base.
You are encouraged to cross-promote your UCPlaces guided tours on your website, blog, podcast, social network or any other platform that you use.
At times for promotional purposes, UCPlaces may decide to provide limited free access to a tour a partner has created using a coupon or access code. In such cases, UCPlaces will compensate the partner for each tour taken with a discounted rate of 25% per purchase.
You are liable for any content you upload on UCPlaces, your content must be your own and you should own the copyrights to any material uploaded to the platform, including but not limited to text, pictures, audio, music and videos.
UCPlaces may choose to offer Partners an “Expert Ranking.” Similarly, Partners may request from UCPlaces this ranking. These “Experts” benefit from listing priority on the UCPlaces web platform and app. This “Expert Ranking” may or may not require a subscription fee to UCPlaces, dependent upon category, availability and/or upon the sole discretion of UCPlaces. UCPlaces will assign specific categories and regions to “Expert” level Partners. “Experts” are only allowed to publish tours within their assigned categories and regions.
Expert Level Partners may subscribe to UCPlaces’ Exclusivity Agreement within a specific category and region. UCPlaces will provide detailed pricing and terms to this separate Agreement. The Exclusivity Agreement entitles Expert Level Partners to be the sole Expert Level contributor to that specific category and region. For more information on Exclusivity, please contact a UCPlaces representative.
UCPlaces reserves the right to add, change or remove rankings from the platform, as well as modifying non-exclusive and/or non-paying Partner’s ranking at its sole discretion.
The
terms of this agreement will terminate within a commercially
reasonable time after you remove or delete your content from
the Service. You understand and agree, however, that
UCPlaces may retain, but not display, distribute, or
perform, server copies of your content that have been
removed or deleted.
Termination for breach of contract is immediate.
In case you breach the Agreement, we will notify you to give you a chance to remedy the situation. However in case of a material breach, you understand that there may be no other option for us than to terminate the partnership and remove your content from our platform.
